What is Linqto?

Linqto's vision is "Your Access to Private Investment". Our mission is to make investing in private companies as easy and accessible as investing in the public stock market. Our platform features high growth, technology driven companies who we believe will go public or be acquired within 5 years. Ripple, Polysign, Epic Games, Zipline- these are just a few of the companies we have featured on our platform. Robinhood, Coinbase, and SoFi are examples of companies that our investors were able to purchase before they were publicly traded and experienced an IPO within a year.

Do I have to be an accredited investor?

Yes. As a US-based company, we are bound by regulations set by the Securities Exchange Commission (SEC) which require all investors in private equity to be verified as accredited. The SEC defines an accredited investor as someone who is qualified to invest in complex or sophisticated securities that are not closely regulated. The purpose of the accredited investor designation is to protect retail investors from losses that can result from unregulated investments.

In the United States, an accredited investor is someone who has earned $200,000 in gross income the last two years ($300,000 if filing with a spouse or partner), someone who has a net worth of $1,000,000 aside from their primary residence, or someone who holds a valid FINRA Series 7, 65, or 82 license.

International members will also need to be verified as an accredited investor via the requirements set by their governing bodies. Our team can work with you to determine your eligibility based on your country.

How can I get started?

If you haven't already, start by signing up for an account and verifying your email address.

Once you have an account, there's a three step process you'll need to complete in order to make an investment on Linqto.


Step 1: Identity Verification
This is a standard practice as part of our Know Your Customer and Anti Money Laundering (KYC/AML) compliance. You'll be asked to scan your Drivers License or Passport and take a self-photo to verify your identity.


Step 2: Basic Information
You'll need to complete the rest of your profile such as your citizenship and SSN/Tax ID number. This information is used for things such as tax reporting and is not shared with anyone.


Step 3: Verify Accreditation Status
Verify if you are an accredited investor in order to have access to all investment opportunities. Most countries have regulations that require you to have sufficient net worth, income, or are considered a sophisticated investor in order to invest in private companies.
In the US, an accredited investor includes anyone who:
-earned income that exceeded $200,000 (or $300,000 together with a spouse or spousal equivalent) in each of the prior two years, and reasonably expects the same for the current year, OR
-has a net worth over $1 million, either alone or together with a spouse or spousal equivalent (excluding the value of the person’s primary residence), OR
-holds in good standing a Series 7, 65 or 82 license.

How do I verify my identity?

Linqto uses Plaid, one of the most widely-used ID verification providers, to verify your identity. Within your Investor Profile, you can click "Begin ID Verification" to enter Plaid's verification process, where you'll be asked to input a few basic pieces of information like your name and phone number. You may be asked to show a government-issued ID, like a driver's license or passport.

Your data is processed and store with encryption, and we will never sell your personal information.

How can I invest?

If you haven't already, start by signing up for an account and verifying your email address. Once you have an account, there's a four step process you'll need to complete in order to make an investment on Linqto.

Step 1: Identity Verification

You'll need to complete the rest of your profile such as adding your primary residence address, phone number, and SSN/Tax ID. This information is used for tax reporting and to communicate with you --your private information is never shared with anyone.

Step 3: Verify Accreditation Status

To verify that you are an accredited investor in order to have access to all investment opportunities, you can access your Investor Profile to be guided through the accreditation verification process which typically includes either obtaining a letter of attestation from your CPA or submitting financial documents.

Step 4: Fund Your Cash Account

You can fund your cash account via ACH, Wire Transfer or Uphold within your Wallet. Both the ACH and Uphold routes support instant availability of your funds (limits apply).

After these steps are completed, you'll be able to place orders for the assets of your choice.

Can I sell before a company exits?

We provide you liquidity on your assets based on our internal risk asssements. If you’re viewing a company within My Portfolio and don’t see the Sell button, it means selling is not currently available for that asset. With that, selling is not always available for every asset and can be turned off for reasons including lack of demand from the buy-side, or a pending company event.

When selling, there is a spread between the bid/ask price, similar to the public markets. This means that the price we are offering to sell an asset for on the buy-side may be different than the price we're buying the units back for on the sell-side.

There is a flat transaction fee that when selling to cover the associated costs. This fee may be reduced or removed when directly trading between assets.

Can I invest through an IRA, LLC, Trust, or other business entity?

Yes! Once you’ve verified your status as an accredited investor, you can add a Self-Directed IRA, Solo 401k, LLC, Trust, or similar business entity to your profile as a sub-account to act as a separate Purchaser. With the same login credentials, you'll be able to manage the investments made through each separate entity (ie- your individual investments and the investments of your LLC or other entity), and each sub-account will have its own Cash Account for funding. When you would like to invest, you’ll be presented with a dropdown menu where you can choose to invest through your personal account or your LLC/Trust/etc.

Specifically for IRAs, Linqto members can only invest using a Self-directed IRA. Self-directed IRAs provide investors with a much wider range of investment opportunities including alternative investments such as precious metals, real estate, or private placements.

When investing through an entity, all the entity's holdings and investment documents will be issued in the name of that entity and can be accessed at any time from your portfolio.
